2. Purpose and acceptance

These terms govern the use of TeamWing and the sale of its subscriptions, to consumers and businesses alike. They apply as soon as an account is created (including the free plan) and, for a paid subscription, are accepted when ordering. The applicable version is the one in force on the day of the order; it can be viewed at any time on this page, saved or printed.

Specific terms signed with a business customer prevail over these general terms where they differ.

3. Definitions

4. The service and plans

TeamWing is an online service for organising team tasks, connected to Google Tasks, Gmail and Google Calendar. It runs in a recent browser with a Google account.

Features are detailed on the plans page. TeamWing keeps improving the Service: features may be added or improved. An essential feature of a paid plan is not removed during a paid period; if a change significantly reduces the Service, the subscriber is told and may cancel at no cost.

5. Account and access

You sign in with a Google account. The Customer keeps their access private and is responsible for the use of their account. They provide accurate information and report any unauthorised use without delay to support@teamwing.app. A board owner chooses who can access it and with which role, and is responsible for the invitations they send.

6. Prices

Solo costs €3 per month or €30 per year. Pro costs €6 per member per month, or €60 per member per year. Business costs €12 per member per month, or €120 per member per year. For Pro and Business, the number of members is the number of people on the subscriber’s boards, subscriber included. VAT not applicable, article 293 B of the French tax code: prices are net, without VAT, and are the total amount paid.

Beta members get the founder price: 50% off every plan for as long as they stay subscribed. TeamWing may change its prices: a running subscription keeps its price until its next renewal, and the subscriber is emailed at least 30 days before any change that affects them. If they refuse the new price, they can cancel before the renewal.

7. Free trial

Every new account can try Business free for 7 days, with no payment method and no commitment. At the end of the trial, the account automatically moves to the free plan if it has not subscribed: boards beyond that plan become read-only. Nothing is deleted and nothing is charged.

8. Order, payment and renewal

You subscribe, and change plan, from the application (Settings › Plan). Before paying, the Customer sees the plan, billing period, number of members and total price; the contract is concluded when the payment is confirmed, by email with the invoice.

Payment, by card or the other methods shown on screen, is handled by Stripe; TeamWing never sees or stores card details. The subscription is paid in advance and then renewed automatically for the same period at each due date (month or year) until cancelled. A change of plan or number of members during a period is prorated and appears on the next invoice. Invoices are available in the customer area (Settings › Plan › Manage my subscription).

For a yearly subscription taken by a consumer, TeamWing emails them, no earlier than three months and no later than one month before the end of the period, to remind them they can choose not to renew, as required by article L. 215-1 of the French consumer code.

If a payment fails, Stripe retries for a few days and the Customer is told; without settlement, the subscription ends and the account moves to the free plan. For business customers, any amount unpaid on its due date automatically bears late-payment penalties equal to three times the French statutory interest rate, plus a fixed recovery fee of €40 (articles L. 441-10 and D. 441-5 of the French commercial code). No discount is given for early payment.

9. Cancellation

The Customer can cancel at any time, in a few clicks, from the customer area (Settings › Plan › Manage my subscription) or by writing to support@teamwing.app. Cancellation takes effect at the end of the period already paid, with no renewal; the current period is not refunded, except under the right of withdrawal or if TeamWing is at fault. The account then returns to the free plan and the Content stays available within its limits.

The Customer can also ask at any time for their account and Content to be deleted (section 14). TeamWing may suspend or terminate an account for a serious breach of these terms (in particular section 13), after a formal notice left unanswered for 8 days, or immediately in case of a threat to the Service’s security, fraud or manifestly illegal content.

10. Right of withdrawal (consumers)

Consumers have 14 days from subscribing to withdraw, without giving a reason or paying a penalty. To do so, they send a clear statement to contact@teamwing.app, for example using the form below.

By subscribing, the consumer expressly asks for the Service to start immediately, before the end of the withdrawal period. If they then withdraw, they pay only for the Service provided until they communicated their decision, in proportion to the total price (article L. 221-25 of the French consumer code); the rest is refunded within 14 days of their request, using the same payment method. The right of withdrawal does not apply to business customers.

11. Legal guarantees (consumers)

TeamWing must provide a Service that conforms to the contract and is liable under the French consumer code and civil code:

Legal guarantee of conformity for digital content and services. As the Service is supplied continuously, the guarantee applies throughout the supply period. The consumer only has to prove that a lack of conformity exists, not when it appeared. It requires TeamWing to provide the updates needed to keep the Service in conformity.

It entitles the consumer to have the Service brought into conformity without undue delay after the request, free of charge and without major inconvenience. The consumer can get a price reduction while keeping the Service, or end the contract with a full refund, if TeamWing refuses to fix it, delays the fix unjustifiably, cannot fix it without cost or major inconvenience to them, or if the defect persists despite an attempted fix. They are also entitled to this, without first asking for a fix, when the defect is serious enough to justify it. For a minor defect, the contract can only be ended if no price was paid. Any period of unavailability needed to restore conformity suspends the remaining guarantee.

These rights come from articles L. 224-25-1 to L. 224-25-31 of the French consumer code. A trader who obstructs them in bad faith faces a civil fine of up to €300,000 or 10% of average annual turnover (article L. 242-18-1).

The consumer also benefits from the guarantee against hidden defects (articles 1641 to 1649 of the French civil code) for two years from discovering the defect: a price reduction if they keep the Service, or a full refund if they give it up.

To use these guarantees, write to support@teamwing.app describing the problem.

12. Availability and support

TeamWing uses reasonable means to keep the Service available and reliable (best-efforts obligation), without guaranteeing that it will never be interrupted. Interruptions may occur for maintenance, updates or an incident at a provider; planned maintenance is done at low-traffic times where possible. Support answers by email at support@teamwing.app or from the application (Help › Contact support), normally within two business days.

13. Acceptable use

The Customer and their members use the Service fairly and lawfully. In particular, it is forbidden to:

Illegal content can be reported to contact@teamwing.app (see the legal notice). TeamWing may remove manifestly illegal content and suspend the related access, telling the Customer why.

14. Your content and data

The Customer keeps ownership of their Content. They grant TeamWing only the right to host, copy and process it as needed to provide the Service (sync, backup, notifications, requested features). TeamWing does not sell Content and does not use it to train artificial intelligence models.

Results produced by artificial intelligence features are suggestions for the Customer to check before use. The Customer can export their data (CSV exports, Google Tasks), delete their boards at any time and ask for their account to be deleted at privacy@teamwing.app: their Content is then erased within one month, unless the law requires it to be kept (invoices in particular).

15. Personal data and processing

How personal data is processed is described in the privacy policy. For the personal data the Customer puts in their boards (for example about colleagues, clients or requesters), the Customer is the controller and TeamWing the processor within the meaning of article 28 of the GDPR. As such, TeamWing:

16. Intellectual property

The Service, its code, texts, design, name and logo belong to the publisher or its licensors. The subscription gives a personal, non-exclusive, non-transferable right of use for the duration of the contract; it transfers no ownership.

17. Liability

TeamWing is liable for direct damage caused by a breach of its obligations. It is not liable for use of the Service contrary to these terms, for the Customer’s Content, or for interruptions or changes to third-party services (section 18).

Business customers: TeamWing’s liability is limited to direct and foreseeable damage and, for all causes combined, to the amount paid for the Service in the 12 months before the event; loss of revenue, customers or indirect data loss is excluded. These limits do not apply to gross negligence, wilful misconduct or personal injury.

Consumers: TeamWing is liable for its failures under general law; nothing in these terms deprives consumers of their statutory rights.

18. Third-party services

The Service relies on third-party services that the Customer chooses to turn on (Google Tasks, Gmail, Google Calendar, Odoo, Pennylane, artificial intelligence providers) or that it needs to run (Google Cloud, Stripe, Brevo). Their use is subject to their own terms. TeamWing is not affiliated with or endorsed by Google.

19. Force majeure

Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French civil code. If it lasts more than 30 days, either party may end the subscription, and the unused paid period is refunded.

20. Changes to these terms

TeamWing may change these terms, in particular to follow changes to the Service or the law. Subscribers are emailed at least 30 days before a change that affects them comes into force; if they refuse it, they can cancel at no cost before that date. The running subscription stays under the accepted terms until then.

21. Governing law, mediation and disputes

These terms are governed by French law. If there is a problem, please write to support@teamwing.app first: we will look for an amicable solution.

Consumer mediation: if a written complaint has not been resolved within two months, consumers can turn, free of charge, to the consumer mediator TeamWing belongs to: name, address and website of the mediator — to be completed after joining (articles L. 612-1 and following of the French consumer code).

Failing agreement, consumers may bring the matter, at their choice, before the court of the place where they lived when the contract was concluded or the damage occurred, or any other court competent by law. Between businesses, any dispute falls under the exclusive jurisdiction of the courts of Toulouse, France, including for interim proceedings and where there are several defendants.
